ENTRY INTO THE COMPETITION

1. Entry into the “YOU Winner" competition (the “Competition”) is open to all permanent residents of Australia over the age of 18 years. The Promoter is XYZnetworks Pty Limited (ABN: 71 066 812 119) of Level 1, 5 Thomas Holt Drive, North Ryde, NSW 2113 (the “Promoter”). Information on how to enter forms part of the terms of entry. Entry into the Competition is deemed acceptance of these terms and conditions.

2. The Competition is a game of chance, and skill plays no part in determining the winner.

3. The officers, management and employees (or immediate family of an officer, manager or employee) of the Promoter, the agencies associated with this Competition, FOXTEL, AUSTAR, Optus TV and their related bodies corporate are not eligible to enter.

4. Competition begins at 00:01hrs (AEDT) on Monday 16th November 2009 and closes at 23:59hrs (AEST) on Sunday 16th May 2010 (the “Competition Period”). However the entry period for each weekly promotion is from 00:01hrs Monday to 23:59 Sunday weekly.

5. All times are stated using the 24 hour clock. 00:01 is the start of the day and 23:59 is the end of the day.

6. To enter the Competition and be eligible to win, entrants who are over the age of 18, must send an SMS message containing their name and answer to the weekly multiple choice question (a, b or c) to 199 888 55. Entrants will receive a reply SMS message confirming their entry and stating whether they have won an instant prize (see below for details of instant win prizes).

If an entrant wins an Instant Win Prize, their reply SMS will include: • A 6 digit unique Prize Claim Number; and • Details about the prize they have won.

7. SMS entry cost is $0.55c incl GST which is charged by your mobile phone carrier provider.

8. Incomplete and incomprehensible entries or those with defamatory, copyrighted or offensive content will be ineligible.

9. Entrants can enter the Competition as many times as they like. However, only one prize per person is permitted (SA residents are entitled to win more than one prize). In the event that an entrant wins more than one instant prize, the first instant prize won will be awarded and the remaining prizes will be drawn (excluding SA residents who are entitled to win more than one prize).

10. The use of any automated software or any other mechanical or electronic means that permits the participant automatically to enter repeatedly is prohibited. To ensure fairness, the Promoter may undertake automatic and/or manual audits of entries and may deem entries ineligible if it is reasonably believed that they are frivolous, incomprehensible, incomplete, or otherwise not genuine.

11. The SMS entry mechanic is only open to consumers with an SMS compatible mobile phone connected to a service provider which permits text messaging to the promotional SMS number. It is recommended that entrants check with their individual service provider in this regard.

PRIZE

12. “Instant Win Prize/s”: There are 26 x Instant Win Prizes which will be awarded during the Competition Period. 1 x Instant Win Prize will be awarded each week during the Competition Period. Each Instant Win Prize consists of:

• $500 cash to be deposited into the winner’s nominated bank account to be held in the name of the Prize Winner. (The “Instant Win Prize/s”, the “Prize/s”)

13. Participants will be notified at the time of entry (subject to verification of entry validity) if they are an instant winner and what prize they have won. Instant winners will be issued a 6 digit Prize Claim Number as determined by the Beinteractive Pty Ltd Instant Win system. The 6 digit Prize Claim Number will need to be recorded by the participant for prize verification purposes. In the event of any dispute with the Promoter, or at the Promoter’s request, Instant Win Prize winners will be required to correctly quote their unique Prize Claim Number to be awarded their prize. The Promoter reserves the right to withhold the awarding of an Instant Win Prize to a participant who cannot provide a valid, unique Prize Claim Number. Any unclaimed or un-verified prizes will be awarded during the second chance draw pursuant to clause 18.

14. The total maximum Prize value is $13,000 (26 x Instant Win Prizes valued at $500 each). All prize values are in Australian dollars.

15. The Prizes are not transferable.

16. All entrants understand that there may be tax or other implications following the award of the Prize and should seek independent advice. All entrants acknowledge that the Promoter may require the Prize winners to (and the Prize winners will) reasonably execute such further documents to limit the Promoter’s liability in relation to the Prize.

17. The Competition is not open to entrants aged under 18 years of age. Any entries from persons under 18 years of age will be deemed ineligible.

WINNERS

18. At the conclusion of the Competition all entrants will be entered into a draw to win any un-won prizes. The draw will take place at Beinteractive Pty Ltd, Level 9, 155 George St, Sydney NSW 2000 on Tuesday 18th May 2010 at 15:00 (AEST).

19. The Prize Winners will be notified in writing and will have their details published on The LifeStyle YOU website www.lifestyleyou.com.au and in the Public Notices section of The Australian newspaper on Monday, 14 December 2009 (Weeks 1,2,3), Monday 4 January 2010 (Weeks 4,5,6), Monday 25 January 2010 (Weeks 7,8,9), Monday 15 February 2010 (Weeks 10,11,12), Monday 8 March 2010 (Weeks 13,14,15), Monday 29 March 2010 (Weeks 16,17,18), Monday 19 April 2010 (Weeks 19,20,21), Monday 10 May 2010 (Weeks 22, 23, 24), Monday 24 May 2010 (Weeks 25, 26).

20. The Promoter shall conduct such further draws as may be deemed necessary at Beinteractive, Level 9, 155 George Street, Sydney NSW 2000 on Wednesday 18th August 2010 at 15.00hrs (AEST) to distribute any Prizes unclaimed by that date, subject to State Regulation. The redrawn winner of any unclaimed Prize will be notified in writing and will have their details published on The LifeStyle YOU website www.lifestyleyou.com.au and in the Public Notices section of The Australian newspaper on Wednesday 1st September 2010.

21. If a Prize winner cannot be contacted or does not claim the Prize by the stipulated date, then the Prize will be awarded to the next valid winner.

GENERAL

22. Programming and other quality control errors will not invalidate an otherwise valid prize claim.

23. Unless otherwise due to fraud or ineligibility under these conditions of entry, all existing claims for prizes and entitlements to claims will be met notwithstanding the advertised prize pool has been exceeded.

24. Printing errors or other quality control matters will not be used as a reason for refusing payment of prizes. 25. All entrants agree to provide the Promoter or the Promoter’s authorised agent with proof of identity, residency, age and/or proof of entry validity if selected as a Prize winner or if reasonably requested by the Promoter or the Promoter’s authorised agent. Proof of age, identification, residency and entry considered suitable for verification is at the sole discretion of the Promoter. In the event that the Prize winner cannot provide suitable proof, the Prize winner will forfeit the Prize in whole and no substitute will be offered.

26. No responsibility will be taken by the Promoter, The LifeStyle YOU Channel, FOXTEL, AUSTAR or Optus TV for any changes in dates, times or cancellations or other arrangements that may prevent the Prize winners from winning the Prizes.

27. Subject to relevant state authority approval, the Promoter reserves the right, in its absolute discretion, at any time before the awarding of the Prizes to cancel the competition or to vary or cancel the award of the Prizes including, without limitation, circumstances where in the Promoter’s opinion (which it shall form in its absolute discretion):

(a) a Prize winner does not satisfy the Competition entry requirements; or (b) the Promoter cannot conduct the Competition or award the Prizes for any reason beyond its control.

28. Subject to relevant state authority approval, in the event that the Promoter cancels the Competition or varies or withdraws the Prizes it shall not: (a) be liable to any person for any loss or damage (including loss or damage caused by any negligence) arising out of, or in connection with, such cancellation, variation or withdrawal; and (b) be required to conduct the Competition at any other time.

29. No responsibility will be accepted by the Promoter for late, lost or misdirected entries and all entries are deemed to be received at the time of receipt of the entry into the Promoter’s database and NOT time of transmission by the entrant. The Promoter accepts no responsibility for outdated or incorrect contact details or contact details by which the entrant cannot be contacted during business hours on the relevant dates. 30. A decision of the Promoter in relation to the conduct of the Competition is binding and conclusive and no correspondence will be entered into.

31. Entrants enter the Competition at their sole risk. With the exception of liability which cannot be excluded by law, the Promoter shall not be liable for any loss or damage which is suffered (including but not limited to indirect or consequential loss) or for personal injury suffered or sustained as a result of taking the Prizes or entering the Competition.

32. All entries become the property of the Promoter and may be communicated to the public by the Promoter or used for promotional purposes, subject to the Promoter’s privacy policy which is available at www.lifestyleyou.com.au. By entering the Competition, the Prize winners agree to the use of their name, image, audio-visual recording and/or photograph/s, without compensation, and agrees that the Promoter will own copyright in any such images, audio-visual recordings and photograph/s.
